1. Acceptance of Terms

By accessing or using the CPF Group Foundation website and services (collectively referred to as the "Services"), you agree to be bound by these Terms of Service (the "Terms"). These Terms govern your use of the Services and constitute a legal agreement between you and the CPF Group Foundation ("The Foundation," "we," or "us"). The Services contain intellectual property belonging to The Foundation or its licensors, including trademarks, copyrights, and other intellectual property rights. You are granted a non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only. You may not modify, reproduce, distribute, create derivative works of, or commercially exploit any content from the Services without the express written permission of The Foundation.

You may submit content to the Services, such as comments, feedback, and suggestions (collectively, "User Content"). By submitting User Content, you grant The Foundation a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, publish, translate, distribute, and display such User Content in connection with the Services. You represent and warrant that you own all rights to the User Content you submit or that you have obtained all necessary permissions and licenses to grant The Foundation the rights set forth in this Section.

5.1 Availability:

The Services are provided on an "as is" and "as available" basis. The Foundation does not guarantee that the Services will be uninterrupted, error-free, or secure.

 

5.2 Warranties:

The Foundation disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Foundation does not warrant that the information contained in the Services is accurate, complete, or reliable.

 

6. Limitation of Liability

The Foundation will not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of the Services, even if The Foundation has been advised of the possibility of such damages.

 

7. Indemnification

You agree to indemnify, defend, and hold harmless The Foundation, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, expenses, liabilities, and costs (including attorney's fees) arising out of or in connection with your use of the Services or your violation of these Terms.

 

8. Termination

The Foundation may terminate your access to the Services at any time, with or without cause, and with or without notice. You may also terminate your access to the Services at any time.

 

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Kenya.

 

10. Entire Agreement

These Terms constitute the entire agreement between you and The Foundation with respect to your use of the Services.

 

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.

 

12. Waiver

No waiver of any provision of these Terms by The Foundation shall be deemed a further or continuing waiver of such provision or any other provision.

 

13. Amendments

The Foundation may amend these Terms at any time by posting the amended Terms on the Services. Your continued use of the Services after the amended Terms are posted constitutes your agreement to the amended Terms.
